IGE TERMS & CONDITIONS (UPDATED May 12, 2023)
1. INTRODUCTION
These Sales Conditions apply to purchases made through the IGE GOLD App and/or websites accessible at https://ige.gold or https://italygoldexchange.com in the appropriate sections for the investment in Gold.
These Sales Conditions comply with the applicable provisions of Legislative Decree 206/2005 ("Consumer Code") most recently coordinated and updated with changes made by Legislative Decree of July 16, 2020, no. 76, converted, with amendments, by Law of September 11, 2020, no. 120, including article 33, letters "n)" and "o)".
2. PARTIES AND POLICY
The websites "https://ige.gold” or “https://italygoldexchange.com" (hereinafter, "ITALY GOLD EXCHANGE" or "IGE") are owned by Orchidea Preziosi S.p.A., with its legal headquarters in Via del Gavardello, 59, 52100 Arezzo, Italy. VAT number: 01257180511. Registration number with the Chamber of Commerce (CCIAA) of AREZZO-SIENA: REA number: AR – 93628. Share capital: Euro 5,000,000 (fully paid). Professional gold trader registered with the Bank of Italy (code op. 5009568).
All products subject to this contract will be sold and purchased exclusively by Orchidea Preziosi S.p.A. on behalf of the legal representative.
Purchasing products online on the ITALY GOLD EXCHANGE website implies that all users consult and review Orchidea Preziosi S.p.A.'s privacy policy for collecting and processing user data on various platforms through a link on this website.
Purchases/sales will be governed by the following terms and conditions of sale (hereinafter, "Terms & Conditions").
3. Notes and Specifics on Terms and Conditions of Sale.
These Terms and Conditions of Sale apply to all orders and purchases made on the ITALY GOLD EXCHANGE website. These terms and conditions regulate both the use of the website and sales procedures for goods offered on the ITALY GOLD EXCHANGE website.
Consumer users are defined as individuals acting exclusively for private purposes. These users are not related to their own commercial, entrepreneurial or professional activity.
Regarding purchases on ITALY GOLD EXCHANGE, Orchidea Preziosi S.p.A. will send electronic communications by email or by newsletters with appropriate headers related to the ITALY GOLD EXCHANGE brand. By using this online channel, all users acknowledge that any statements of interest, offers, communications, disclosures and other notices will be issued or provided electronically, with the exception of those cases in which the law requires the same to be in writing.These Conditions of Sale can be amended by Orchidea Preziosi S.p.A., with specification on the new effective date of their validity in the ITALY GOLD EXCHANGE website. Any modifications to these Terms of Sale will apply to orders placed on or after the effective date, provided that changes are visible on the website as new applicable terms. Prior to placing an order for products, users will be given an opportunity to review these Terms of Sale and instructed expressly and unequivocally to accept them.
4. User Account
In order to place an order on the ITALY GOLD EXCHANGE website, each user is required to create a user account consisting of a user name and password. Each user is required to maintain the confidentiality of his/her password and limit access to his/her password and account. Each user assumes responsibility for each act performed, and each purchase made, through their account.
5. Purchases and placement of orders
In order to purchase products on the ITALY GOLD EXCHANGE website, it is necessary to:
- have accepted these Terms of Sale and have read the privacy policy;
- provide your name and address, telephone number, email address, payment details and other requested information;
- provide a valid delivery address;
Orchidea Preziosi S.p.A, does not deliver to post office boxes or drop-off lockers. Orders are shipped by courier and therefore a physical person's signature will be required upon delivery.
Users can place an order by proceeding to checkout after clicking on the "ADD TO CART" button. Users agree that their order(s) is/are a proposal to purchase product(s) indicated in the order under these Conditions of Sale. Each order is considered a separate purchase. All orders are, then, subject to acceptance by Orchidea Preziosi S.p.A., which reserves the right to refuse, without explanation, any order (including, without limitation, orders for which fraud is suspected). You will be notified if Orchidea Preziosi S.p.A. decides not to accept your order.
Users will have the opportunity to review their order(s), read and accept the Terms of Sale, check the total price and the details of the order(s), information provided and correct any input errors before confirming the order(s).
6. Order processing and contract execution
Once the order(s) has been finalized on the ITALY GOLD EXCHANGE website according to the instructions made available (through the procedure for placing online orders), ITALY GOLD EXCHANGE will send an email to the email address provided, confirming receipt of the order(s) and indicating the details of the product(s) ordered. The contract between users and Orchidea Preziosi S.p.A. will be considered concluded upon payment of the order placed.
7. Prices, Taxes, shipping and management fees.
The final price charged for a product will be shown on the information/presentation page of each item when users place an order, and will be shown both on the confirmation page after the order is finalized and in the Order Confirmation Email that users receive.
All prices include VAT, taxes or applicable management fees.
Orchidea Preziosi S.p.A. has the right to add additional shipping charges which may be determined based on the location and delivery options selected during checkout.
These extra charges, if any, will be indicated on the recap page before the order is finalized, as well as in the Order Confirmation Email.
8. Payment process
Payments must be made by one of the methods indicated on the ITALY GOLD EXCHANGE website. In the event that Orchidea Preziosi S.p.A. does not receive authorization, Orchidea Preziosi S.p.A. has the right to cancel the order placed by the user. Depending on the payment method chosen by each user, payment will take place in one or more phases.
9. Delivery
Delivery usually takes 3-5 working days. In any case, Orchidea Preziosi S.p.A. is committed to ensuring that, except in cases of force majeure, delivery would be made within 30 days from Shipping Confirmation Email. In specific cases of force majeure or calamity of any kind Orchidea Preziosi S.p.A. shall not deliver in territories considered even temporarily not reachable by the courier in charge. Orchidea Preziosi S.p.A. receives regular updates from the courier whenever there are any territories in which the courier cannot deliver.
Orchidea Preziosi S.p.A. has the right to substitute the courier responsible for deliveries.
Each delivery will be preceded by the related invoice, transmitted by Orchidea Preziosi S.p.A. by email.
If the user postpones delivery without reasonable cause, delays delivery or has provided an incorrect delivery address resulting in the failure of delivery, the package will be returned to Orchidea Preziosi S.p.A, and Orchidea Preziosi S.p.A. will be discharged from the obligation to deliver items within the agreed delivery time.
Orders are handled by the insured courier and a physical signature will be required upon delivery.
Orchidea Preziosi S.p.A. shall not be liable for delay or non-delivery if the delay or non-delivery is caused by circumstances beyond its control including, but not limited to, acts of war or terrorism, strikes, national or local emergencies, disruptions in the operation of transportation infrastructure, power outages, earthquakes, other natural disasters, delivery problems caused by the recipient.
10. Product Availability
If the item the user intends to order is no longer available, it will be not possible to proceed and place the order on the ITALY GOLD EXCHANGE website. In addition, in a few exceptional and unforeseeable cases, a product indicated on the site as available may turn out to be no longer available after the order has been placed; in this case, the contract between the user and Orchidea Preziosi S.p.A. will not be finalized and the user will be notified accordingly; the product, therefore, will not be included in the Shipping Confirmation Email that will be sent to the user. In the event that the payment is made before the confirmation of the non-availability of the Product, Orchidea Preziosi S.p.A. will refund the amounts paid by the user as soon as possible and in any case within thirty days from the non-availability of the Product.
11. Compliance and product information
When placing the order, the user is requested to verify that the products purchased are suitable for the use he/she has in mind. We encourage the user to refer to the ITALY GOLD EXCHANGE website as the ultimate point of reference when verifying compliance. In the event of any discrepancy between the contents of ITALY GOLD EXCHANGE and any other site (or any other source of information), the suitability of the products as indicated on the ITALY GOLD EXCHANGE site at the time of purchase will prevail. Please be aware that due to the chosen gold concentration, on-screen image reproduction, the exact color and design of the products on-screen may be different from the actual features of the products.
Size and weight will be those shown on the ITALY GOLD EXCHANGE website with a range of tolerance due to processing technologies. Due to technical reasons, customization (engraving) is done after the ingot is produced. In this case, weight may be subject to slight weight variations in relation to the type of symbol and/or inscription chosen.
That being stated if the products received do not correspond to those ordered, or if the delivery is incomplete or if there has been damage in transit, we invite the user to contact ITALY GOLD EXCHANGE Customer Service Center by email in order to receive assistance within the legal terms according to what is indicated in the appropriate paragraph "Guarantees". Our contact information is published and updated on the ITALY GOLD EXCHANGE website.
12. Ownership of the products
The ownership of the products, and the related risk, will be transferred from Orchidea Preziosi S.p.A. to the user upon receiving the products
13. Withdrawal
Each customer has the right to withdraw from the purchase contract for any reason, without the need to provide explanations. The customer must send a notice to ITALY GOLD EXCHANGE within 14 working days from the date of receipt of the goods. Such notice must be sent by one of the following means:
- As per current regulations, it is not possible to withdraw for personalized products, that is, jewelry with engravings of phrases or letters communicated by the customer. It will still be possible to return the item. ITALY GOLD EXCHANGE has the right to charge for any handling costs and any loss of value of the item due to fluctuation during the withdrawal period.
- Withdrawal applies to each product as as whole:
- It is not possible to withdraw only for part of the purchased product;
- The purchased goods must be intact and returned in the original packaging, complete in all its parts;
- The customer shall pay shipping costs related to the return of the good;
- Until products are delivered to our warehouse, shipping is under the full responsibility of the customer
In case of damage to the goods during transport, Orchidea Preziosi S.p.A will notify the customer (within 5 days from receipt of goods in the warehouses), so that a complaint against the carrier can be promptly filed and the value of the goods (if insured) could be reimbursed; in this case, the goods will be available for the customer to return them, at the same time canceling the request for withdrawal;
- Orchidea Preziosi S.p.A is not responsible in any way for damage, theft/loss of goods returned by non-insured shipments; upon arrival at the warehouse, the product will be scanned to check for any damage or alterations not resulting from transport. If the returned product is damaged, Orchidea Preziosi S.p.A will deduct a fee from the refund due, as a contribution to the costs of repair.
Except for any repair costs for damages to the original packaging, Orchidea Preziosi S.p.A will refund the customer the full amount of the goods already paid (excluding shipping costs), by Bank Transfer or Paypal, within 14 days from the return of the goods. It will be the responsibility of the customer to promptly provide the bank details on which to obtain reimbursement (name surname account holder, IBAN code). Withdrawal is invalidated for lack of the essential integrity of the goods (packaging and/or its contents), if Orchidea Preziosi S.p.A detects:
- missing essential elements of the product;
- damage of the product not depending on transport.
If a withdrawal is invalidated, Orchidea Preziosi S.p.A will return to the sender the purchased goods, charging the customer all shipping costs.
14. Guarantees and statutory rights
Users will be provided with a legal warranty for items purchased that prove to be defective. In such cases, users may request a replacement of the product. The purchased item is considered without relevant defect if, at the time of delivery, it has the agreed quality and customization. If no specific quality has been agreed upon between the parties, the purchased item is considered free of major defects if:
Orchidea Preziosi S.p.A. will be responsible for all necessary expenses for replacement and in particular transportation costs.
The user has the right to claim a defect in the purchased product only if it is reported to Orchidea Preziosi S.p.A. immediately after it is detected. The legal warranty, related to the non-conformity of a purchased product concerning what was agreed in the contract, is established in two years from the purchase. Users are required to keep the order confirmation/invoice ( and pass it on to the gift recipient, if any) as the original proof of purchase of the product which must be included in order to activate the legal warranty., Orchidea Preziosi S.p.A. will not be responsible for defects caused by improper use of the item which will not be covered by the warranty.
15. LIABILITY
These Sales Conditions establish all the obligations and responsibilities of Orchidea Preziosi S.p.A. regarding the sale of products through the ITALY GOLD EXCHANGE site. In particular, Orchidea Preziosi S.p.A. does not guarantee that the products are suitable for the purposes/expectations intended or requested by the user. Nothing in these Sales Conditions excludes or limits the liability provided for by law in favor of Orchidea Preziosi S.p.A.
16. SEVERABILITY
In case any provision of these Terms of Sale is considered to be unlawful, void, or for any reason not applicable, that provision shall be deemed severable from these Terms of Sale and shall not affect the validity or enforceability of the remaining provisions. The provision that is unlawful, void, or for any reason not applicable shall be replaced by a valid provision whose "economic purpose" is as close as possible to the provision previously considered unlawful, void, or for any reason not applicable.
17. REFERENCE LEGISLATION and COURT
These Sales Conditions and the purchase of products from Orchidea Preziosi S.p.A. will be governed by and interpreted under Italian law. In the event of disputes relating to the contract for the purchase of products or in any case concerning the purchase procedure regarding these Sales Conditions, the user will always have the right to address the Court of Arezzo.

Nothing in these Sales Conditions excludes or limits the liability provided for by law in favor of Orchidea Preziosi S.p.A.
16. SEVERABILITY
In case any provision of these Terms of Sale is considered to be unlawful, void, or for any reason not applicable, that provision shall be deemed severable from these Terms of Sale and shall not affect the validity or enforceability of the remaining provisions. The provision that is unlawful, void, or for any reason not applicable shall be replaced by a valid provision whose "economic purpose" is as close as possible to the provision previously considered unlawful, void, or for any reason not applicable.
17. REFERENCE LEGISLATION and COURT
These Sales Conditions and the purchase of products from Orchidea Preziosi S.p.A. will be governed by and interpreted under Italian law. In the event of disputes relating to the contract for the purchase of products or in any case concerning the purchase procedure regarding these Sales Conditions, the user will always have the right to address the Court of Arezzo.
